1. Acceptance of Terms
By accessing and using Selling to Sold's marketplace platform and reseller management services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the terms outlined herein, please do not use this service.
2. Description of Service
Selling to Sold provides a comprehensive reseller business management platform including:
- Multi-channel inventory management
- Automated listing creation and synchronization
- AI-powered product photography and description generation
- Price optimization and dynamic pricing tools
- Sales analytics and reporting
- Storefront hosting and customization
- Integrated payment processing
- Order fulfillment and shipping management
- Customer relationship management (CRM)
3. User Responsibilities
As a user of Selling to Sold's platform, you agree to:
- Provide accurate and complete information about products you list for sale
- Ensure you have legal ownership and the right to sell all items you list
- Not list counterfeit, stolen, illegal, or prohibited items
- Comply with all marketplace policies where you list your products (eBay, Facebook Marketplace, etc.)
- Maintain accurate business and contact information
- Provide excellent customer service to your buyers
- Comply with all applicable federal, state, and local laws and regulations
- Maintain appropriate business licenses and permits as required
4. Subscription Plans and Fees
Selling to Sold offers tiered subscription plans with different features and pricing:
- Essential Plan: $49/month - Basic inventory management and listing tools
- Professional Plan: $99/month - Advanced features including AI tools and analytics
- Enterprise Plan: $199/month - Full-service platform with custom storefront and priority support
Subscription fees are billed monthly or annually as selected. Pricing is subject to change with 30 days advance notice to existing subscribers. Transaction fees may apply for certain payment processing services.
5. Payment Terms
Subscription payments are processed automatically on your billing cycle date. You authorize Selling to Sold to charge your designated payment method for all subscription fees and applicable transaction fees. Failed payments may result in service suspension. Refunds are handled according to our Refund Policy.
6. Sales Tax and Compliance
As a reseller, you are responsible for:
- Collecting applicable sales tax from your customers
- Remitting collected sales tax to appropriate tax authorities
- Maintaining accurate tax records and documentation
- Complying with all tax laws in jurisdictions where you conduct business
- Obtaining and maintaining necessary resale certificates or tax permits
Selling to Sold provides tools to help calculate and track sales tax, but you remain solely responsible for tax compliance. We recommend consulting with a tax professional for guidance specific to your business.
7. Data and Content Ownership
You retain all rights to:
- Product listings, descriptions, and images you create
- Your inventory data and customer information
- Your business data and analytics
By using our AI tools, you grant Selling to Sold a non-exclusive license to process your content for the purpose of providing services. We will not sell your data to third parties or use it for purposes outside of service delivery.
8. Service Availability and Liability
While we strive for 99.9% uptime, Selling to Sold is not liable for:
- Service interruptions due to maintenance, upgrades, or technical issues
- Lost sales or revenue due to platform downtime
- Third-party marketplace policy changes or account suspensions
- Data loss (we recommend maintaining your own backups)
- Accuracy of AI-generated content (always review before publishing)
- Customer disputes or chargebacks on your sales
Our total liability is limited to the amount you paid for services in the preceding 12 months.
9. Privacy and Data Protection
Your privacy is important to us. We collect, use, and protect your personal and business information in accordance with our Privacy Policy. By using our services, you consent to our data practices as described in our Privacy Policy. We comply with applicable data protection laws including GDPR and CCPA where applicable.
10. Account Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time from your account settings
- Cancellation takes effect at the end of your current billing period
- We may suspend or terminate accounts for violation of these terms
- Upon termination, you may export your data for 30 days
- Unpaid balances remain due upon termination
11. Prohibited Activities
You may not use Selling to Sold to:
- Sell illegal, counterfeit, or stolen goods
- Engage in fraudulent activities or money laundering
- Violate intellectual property rights
- Harass, threaten, or abuse other users or customers
- Attempt to hack, reverse engineer, or compromise our systems
- Resell or redistribute access to our platform
- Use automated bots or scrapers without authorization
12. Dispute Resolution
Any disputes arising from this agreement will be resolved through good faith negotiation. If resolution cannot be reached, disputes will be settled through binding arbitration in accordance with the American Arbitration Association rules, conducted in Houston, Texas. You agree to waive any right to a jury trial or class action lawsuit.
13. Changes to Terms
Selling to Sold reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email with 30 days notice. Continued use of the platform after changes take effect constitutes acceptance of the new terms.
